1. Introduction and Acceptance of Terms

Welcome to Connic. These Terms of Use (hereinafter referred to as "Terms", "Agreement", or "Terms of Use") constitute a legally binding agreement between you (hereinafter referred to as "User", "you", "your", or "Customer") and Connic (hereinafter referred to as "Connic", "we", "us", or "our"), governing your access to and use of the Connic platform, including but not limited to our website located at connic.co, our application programming interfaces (APIs), software development kit (SDK), command-line interface (CLI), documentation, and all related services, features, content, and applications (collectively referred to as the "Services" or "Platform").

BY ACCESSING, BROWSING, OR USING THE SERVICES, OR BY CLICKING "I AGREE", "SIGN UP", OR A SIMILAR BUTTON OR CHECKBOX, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES. YOUR CONTINUED USE OF THE SERVICES FOLLOWING THE POSTING OF ANY CHANGES TO THESE TERMS CONSTITUTES ACCEPTANCE OF THOSE CHANGES.

Connic operates as a hosting and deployment platform specifically designed for artificial intelligence (AI) agents. Similar in nature to application hosting platforms such as Vercel, Netlify, or Render, Connic provides the infrastructure, tools, and services necessary to deploy, execute, monitor, and manage AI agents. It is important to understand that Connic functions as an infrastructure provider: we provide the platform and execution environment, while you retain full ownership of and responsibility for the code, configurations, agents, and content that you deploy on our Platform.

These Terms apply to all visitors, users, customers, and others who access or use the Services. Additional terms and conditions may apply to specific services, features, or promotions, and such additional terms will be disclosed to you in connection with the applicable service. If there is a conflict between these Terms and any additional terms, the additional terms shall control for that specific service unless otherwise stated.

BY AGREEING TO THESE TERMS, YOU ALSO AGREE TO OUR DATA PROCESSING AGREEMENT ("DPA"), WHICH IS INCORPORATED INTO AND FORMS PART OF THESE TERMS. The DPA governs our processing of personal data on your behalf when you use the Services to deploy AI Agents that process personal data. The DPA applies automatically whenever you use the Services to process personal data subject to applicable data protection laws.

We reserve the right to update, modify, or replace any part of these Terms at our sole discretion at any time. It is your responsibility to review these Terms periodically for changes. Material changes will be communicated through reasonable means, which may include email notification, prominent notice on the Platform, or other methods we deem appropriate. Your continued use of the Services after such modifications constitutes your binding acceptance of the revised Terms.

2. Definitions

For the purposes of this Agreement, the following terms shall have the meanings set forth below. These definitions are intended to provide clarity and consistency throughout these Terms and shall apply regardless of whether the terms appear in singular or plural form:

  • "Account" means the unique account created by or for you to access and use the Services, including all associated authentication credentials, API keys, access tokens, and configuration settings linked to your identity or organization on the Platform.
  • "Agent" or "AI Agent" means any artificial intelligence software program, bot, automated system, or intelligent application that you create, configure, deploy, or run using the Services, including but not limited to conversational agents, task automation agents, data processing agents, and any other form of AI-powered application.
  • "API" means Application Programming Interface, which refers to the set of protocols, routines, and tools provided by Connic that allow your software applications to communicate with and utilize the Services programmatically.
  • "Confidential Information" means any non-public information disclosed by either party to the other, whether orally, in writing, or by any other means, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, but is not limited to, business plans, technical data, product designs, source code, trade secrets, customer lists, and financial information.
  • "Connectors" means the integration mechanisms and endpoints provided by the Platform that enable communication between your deployed Agents and external systems, including but not limited to webhooks, WebSocket connections, Kafka message queues, cron-scheduled triggers, and any other integration interfaces made available through the Services.
  • "Deployment" means any instance of your User Content, including Agents, tools, configurations, and associated code, that is uploaded, published, or otherwise made active on the Platform for execution, testing, or production use.
  • "Documentation" means all user guides, technical specifications, API references, tutorials, and other instructional materials provided by Connic in connection with the Services, whether in printed, electronic, or online format.
  • "Effective Date" means the date on which you first accept these Terms, whether by creating an Account, clicking an acceptance button, or by otherwise accessing or using the Services.
  • "Fees" means all charges, subscription fees, usage-based costs, and other amounts payable by you to Connic for the use of the Services, as set forth in the applicable pricing plan, order form, or as otherwise agreed in writing.
  • "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, moral rights, rights of publicity, and any other intellectual property or proprietary rights recognized in any jurisdiction worldwide, including all applications, registrations, renewals, and extensions of the foregoing.
  • "LLM" or "Large Language Model" means any artificial intelligence model designed to understand and generate human language, including but not limited to models provided by third-party services such as OpenAI, Anthropic, Google, Meta, Mistral, and other AI model providers that may be integrated with or utilized through your Agents.
  • "Platform" refers to the complete Connic infrastructure, including all servers, software, APIs, SDKs, command-line tools, web interfaces, dashboards, databases, and related systems that collectively comprise the Services.
  • "SDK" or "Software Development Kit" means the Connic Composer SDK and any other software development tools, libraries, sample code, and related documentation provided by Connic to facilitate the development, testing, and deployment of Agents on the Platform.
  • "Services" means all products, services, features, technologies, and functionality offered by Connic, including but not limited to agent hosting and deployment, execution infrastructure, monitoring and observability tools, APIs, SDKs, Connectors, the web dashboard, Documentation, and any related support services.
  • "Subscription" means your selected service tier or plan that determines the scope of Services available to you, including any associated resource limits, features, and pricing terms.
  • "Third-Party Services" means any products, services, applications, integrations, or content provided by third parties that may be accessed through, integrated with, or used in conjunction with the Services, including but not limited to LLM providers, version control systems, payment processors, and authentication services.
  • "Tools" means custom Python functions, scripts, modules, or other executable code that you create and deploy to extend the capabilities of your Agents, enabling them to perform specific tasks, access external systems, or process data.
  • "User Content" means any and all content, data, information, code, configurations, Agent definitions, Tools, text, graphics, images, files, or other materials that you upload, submit, store, transmit, or otherwise make available through the Services, including the inputs you provide to Agents and the outputs generated by your Agents.
  • "User", "you", or "your" refers to the individual person, company, organization, or other legal entity that accesses or uses the Services, creates an Account, or on whose behalf an Account is created or used.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Services, you must register for an Account. When you register, you agree to provide accurate, current, and complete information about yourself or your organization as prompted by the registration form (collectively, "Registration Data"). You further agree to maintain and promptly update the Registration Data to keep it accurate, current, and complete at all times during your use of the Services. Failure to do so constitutes a breach of these Terms and may result in immediate termination of your Account.

3.2 Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction if different, to create an Account and use the Services. By creating an Account, you represent and warrant that you meet this age requirement. If you are registering on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the terms "you" and "your" shall refer to such entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use the Services.

3.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your Account credentials, including but not limited to your username, password, API keys, access tokens, and any other authentication mechanisms associated with your Account. You agree to: (a) create a strong, unique password that you do not use for any other online accounts; (b) keep your login credentials confidential and not share them with any third party; (c) immediately notify Connic of any unauthorized access to or use of your Account or any other breach of security; and (d) ensure that you log out of your Account at the end of each session when accessing the Services from a shared or public computer.

You acknowledge and agree that you are fully responsible for all activities that occur under your Account, whether or not authorized by you. Connic shall not be liable for any loss, damage, or other consequences arising from your failure to comply with this Section or from any unauthorized access to your Account. You agree to indemnify and hold Connic harmless from any claims, losses, or damages arising from third-party use of your Account credentials.

3.4 API Keys and Access Tokens

The Services may provide you with API keys, access tokens, or other credentials for programmatic access to the Platform. These credentials are equivalent to your Account password and must be treated with the same level of security. You are responsible for: (a) generating and managing your API keys securely; (b) rotating API keys periodically and immediately upon any suspected compromise; (c) using appropriate scoping and permissions for different API keys based on their intended use; (d) never embedding API keys in client-side code, public repositories, or any location where they may be exposed to unauthorized parties; and (e) revoking API keys that are no longer needed. You acknowledge that any actions taken using your API keys will be attributed to your Account, and you accept full responsibility for such actions.

3.5 Account Types and Organizations

The Services may offer different types of Accounts, including individual accounts and organizational accounts. If you create or administer an organizational Account, you may be able to invite other users to join your organization and assign different roles and permissions. You are responsible for: (a) managing user access within your organization; (b) ensuring that all users within your organization comply with these Terms; (c) promptly removing access for users who should no longer have access; and (d) any actions taken by users within your organization. The organization administrator accepts responsibility for the conduct of all users within the organization.

4. Description of Platform Services

4.1 Overview of Services

Connic provides a comprehensive platform for developing, deploying, executing, and managing AI Agents. Our Services are designed to give you the infrastructure and tools necessary to bring your AI applications to production without the burden of managing underlying infrastructure. The Platform operates as a hosting service: you build and deploy your Agents, and we provide the execution environment, scaling capabilities, monitoring tools, and integration infrastructure.

4.2 Core Platform Capabilities

The Services include, but are not limited to, the following capabilities:

  • Agent Hosting and Deployment: Infrastructure to deploy, host, and run your AI Agents in a managed, scalable environment. This includes automated build processes, version management, and deployment orchestration.
  • Connic Composer SDK: A software development kit that enables you to define Agents using YAML configuration files, create custom Tools in Python, and structure your Agent projects according to our framework.
  • Command-Line Interface (CLI): Tools for local development, testing, validation, and deployment of Agents directly from your development environment.
  • Connectors: Pre-built integration endpoints that allow your Agents to receive triggers and communicate with external systems via webhooks, WebSockets, Kafka message queues, and scheduled cron jobs.
  • Web Dashboard: A graphical user interface for managing your projects, deployments, Agents, Connectors, environment variables, API keys, billing, and other aspects of your Account.
  • APIs: RESTful application programming interfaces that provide programmatic access to Platform features, enabling automation and integration with your existing workflows and systems.
  • Monitoring and Observability: Tools for tracking Agent runs, viewing execution logs, analyzing performance metrics, debugging issues, and understanding the behavior of your deployed Agents.
  • Knowledge Base Integration: Capabilities for uploading, managing, and connecting knowledge sources to your Agents, enabling retrieval-augmented generation and context-aware responses.
  • Environment Management: Features for managing different environments (such as development, staging, and production), including environment-specific variables and configurations.

4.3 Service Availability and Modifications

While we strive to maintain high availability of our Services, we do not guarantee that the Services will be available at all times or without interruption. The Services may be subject to limitations, delays, and other problems inherent in the use of internet and electronic communications. We are not responsible for any delays, delivery failures, or other damage resulting from such problems.

We reserve the right, at our sole discretion, to modify, suspend, or discontinue any part of the Services at any time, with or without notice to you. This includes the right to add new features, change existing features, impose limits on certain features, or restrict access to parts or all of the Services. We may also impose limits on certain features and services or restrict your access to parts or all of the Services without notice or liability. We will make commercially reasonable efforts to notify you of significant changes that may adversely affect your use of the Services, but we are under no obligation to do so.

4.4 Service Level Expectations

For customers on paid Subscription tiers, specific service level commitments may be provided in a separate Service Level Agreement (SLA). In the absence of a separate SLA, the Services are provided on an "as available" basis. We perform regular maintenance and updates to improve the Services, which may occasionally require scheduled downtime. We will endeavor to provide advance notice of scheduled maintenance that may significantly impact Service availability.

5. User Responsibilities and Obligations

5.1 Ownership of User Content

As between you and Connic, you retain all ownership rights in and to your User Content. Connic does not claim any ownership interest in your User Content, and nothing in these Terms shall be deemed to restrict any rights that you may have to use and exploit your User Content. Your code, Agent configurations, Tools, and other materials that you create and deploy on the Platform remain your intellectual property.

5.2 Responsibility for Deployed Content

You acknowledge and agree that Connic operates as a hosting and infrastructure provider, and as such, you bear sole responsibility for all User Content that you deploy, transmit, or otherwise make available through the Services. This includes, without limitation:

  • The functionality, accuracy, quality, and appropriateness of your Agents and Tools
  • All outputs, responses, actions, and behaviors produced by your deployed Agents, regardless of whether such outputs were anticipated or intended
  • Any decisions made by or on behalf of your Agents, including decisions that affect end users or third parties
  • The data processed by your Agents, including any personal information, sensitive data, or confidential information
  • Any interactions between your Agents and end users or third-party systems
  • The security of your code, including protection against vulnerabilities, exploits, or malicious behavior

Connic does not pre-screen, monitor, or edit User Content, and we are not responsible for the content, quality, or effects of your Deployments. You agree that Connic has no obligation to monitor User Content, but reserves the right to review, modify, or remove any User Content at any time, for any reason, without notice.

5.3 Compliance with Laws and Regulations

You are solely responsible for ensuring that your use of the Services, including all User Content and Deployments, complies with all applicable local, state, national, and international laws, rules, and regulations. This includes, but is not limited to:

  • Data protection and privacy laws, including the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable privacy legislation
  • Export control laws and regulations, including restrictions on the export of technology or software to certain countries, entities, or individuals
  • Intellectual property laws, including copyright, trademark, and patent laws
  • Consumer protection laws and regulations applicable to automated decision-making systems
  • Industry-specific regulations that may apply to your use case, such as healthcare regulations (HIPAA), financial services regulations, or telecommunications regulations
  • Laws and regulations specific to artificial intelligence systems in applicable jurisdictions, including transparency requirements, bias prevention obligations, and AI-specific compliance frameworks

5.4 Compliance with Third-Party Terms

Your use of the Services may involve integration with or reliance upon Third-Party Services, including but not limited to Large Language Model (LLM) providers such as OpenAI, Anthropic, Google, and others. You acknowledge and agree that:

  • You are solely responsible for reviewing, understanding, and complying with the terms of service, acceptable use policies, and usage guidelines of any Third-Party Services that you use in conjunction with the Platform
  • You must ensure that your Agents operate within the usage policies and restrictions of the underlying LLM providers, including content policies, rate limits, and prohibited use cases
  • You are responsible for obtaining and maintaining any necessary API keys, credentials, or subscriptions required to access Third-Party Services
  • Connic is not responsible for any violations of Third-Party Service terms that result from your use of the Platform
  • Changes to Third-Party Service terms, availability, or pricing are outside of Connic's control, and you accept the risk that such changes may affect your Deployments

5.5 Security Responsibilities

You are responsible for implementing and maintaining appropriate security measures for your User Content and Deployments. This includes:

  • Securing any credentials, API keys, secrets, or other sensitive information used by your Agents, including proper use of environment variables and secure storage mechanisms
  • Implementing appropriate input validation and sanitization to prevent injection attacks, prompt injection, and other security vulnerabilities
  • Testing your Agents for security vulnerabilities before deploying to production
  • Monitoring your Deployments for suspicious activity or unauthorized access
  • Promptly addressing any security vulnerabilities discovered in your User Content
  • Implementing appropriate access controls and authentication for any endpoints exposed by your Agents through Connectors

5.6 Data Responsibility

You are the data controller for any personal data processed by your Agents. You acknowledge and agree that:

  • You have obtained all necessary consents and authorizations required to collect, process, and store any personal data that your Agents handle
  • You have provided appropriate privacy notices to data subjects whose data is processed by your Agents
  • You have implemented appropriate technical and organizational measures to protect personal data in accordance with applicable data protection laws
  • You will promptly notify Connic of any data breach affecting personal data processed through the Services, to the extent required for Connic to fulfill its own legal obligations
  • You are responsible for responding to data subject requests (such as access, deletion, or portability requests) related to data processed by your Agents

6. Acceptable Use Policy

6.1 General Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation, or that infringes upon the rights of any third party. You are responsible for ensuring that all persons who access the Services through your Account are aware of and comply with these Terms.

6.2 Prohibited Uses

You expressly agree not to use the Services to deploy, create, distribute, or facilitate any of the following:

  • Illegal Content or Activities: Agents that generate, distribute, or facilitate illegal content, including but not limited to child sexual abuse material (CSAM), content that violates intellectual property rights, content that facilitates illegal drug trafficking, human trafficking, or any other illegal activities
  • Harmful or Dangerous Content: Agents that generate content designed to harass, bully, threaten, intimidate, or harm any individual or group; content that promotes violence, terrorism, or self-harm; or content that provides instructions for creating weapons, explosives, or other dangerous materials
  • Fraudulent or Deceptive Practices: Agents designed to engage in or facilitate fraud, phishing, social engineering, impersonation, or any other deceptive practices; Agents that generate fake reviews, testimonials, or endorsements; or Agents that create misleading content intended to manipulate public opinion or democratic processes
  • Spam and Unsolicited Communications: Agents that send unsolicited commercial messages, spam, or bulk communications; Agents that harvest email addresses or other contact information without consent; or Agents designed to circumvent anti-spam measures
  • Privacy Violations: Agents that collect, process, or disclose personal information without proper authorization or in violation of applicable privacy laws; Agents that engage in unauthorized surveillance, tracking, or monitoring of individuals; or Agents that create or distribute non-consensual intimate imagery
  • Malicious Software and Security Threats: Agents that distribute malware, viruses, ransomware, or other malicious code; Agents designed to exploit security vulnerabilities in systems or networks; Agents that conduct denial-of-service attacks or other attempts to disrupt services; or Agents designed to bypass security measures or gain unauthorized access to systems
  • AI Safety Circumvention: Agents designed to circumvent, bypass, or undermine the safety measures, content filters, or usage restrictions of LLM providers or other AI services; Agents that engage in prompt injection attacks against other systems; or Agents designed to extract training data or model weights from AI services
  • Discriminatory Content: Agents that discriminate against individuals or groups based on race, ethnicity, national origin, religion, sex, gender, sexual orientation, disability, age, or other protected characteristics; or Agents that generate hate speech or content that promotes discrimination
  • Unauthorized Medical, Legal, or Financial Advice: Agents that provide medical diagnoses or treatment recommendations without appropriate professional oversight; Agents that provide legal advice in jurisdictions where such advice requires licensure; or Agents that provide personalized financial advice without appropriate disclaimers and compliance measures
  • Platform Abuse: Any attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Platform; any attempt to probe, scan, or test the vulnerability of the Platform without authorization; any attempt to interfere with or disrupt the integrity or performance of the Platform; or any attempt to access areas of the Platform that you are not authorized to access

6.3 Resource Abuse

You agree not to engage in any activity that constitutes abuse of Platform resources, including:

  • Creating multiple Accounts to circumvent usage limits or avoid payment
  • Using the Services in a manner that consumes excessive resources or degrades the performance of the Platform for other users
  • Engaging in cryptocurrency mining, password cracking, or other computationally intensive activities not related to legitimate Agent deployment
  • Circumventing or attempting to circumvent any rate limits, quotas, or usage restrictions
  • Reselling, sublicensing, or redistributing access to the Services without Connic's express written consent

6.4 Enforcement

Connic reserves the right, but is not obligated, to investigate any suspected violation of this Acceptable Use Policy. We may take any action we deem appropriate in response to violations, including but not limited to: issuing warnings; temporarily or permanently suspending or terminating your Account; removing or disabling access to any User Content; reporting violations to law enforcement authorities; and pursuing any available legal remedies. We will endeavor to provide notice before taking enforcement action when practical, but reserve the right to act immediately when necessary to protect the Platform, other users, or third parties.

6.5 Reporting Violations

If you become aware of any violation of this Acceptable Use Policy, you are encouraged to report it to us at report-abuse@connic.co. We appreciate your cooperation in maintaining a safe and productive environment for all users.

7. Resource Usage, Limits, and Fair Use

7.1 Subscription Tiers and Limits

The Services are offered under various Subscription tiers, each with defined resource allocations and usage limits. These limits may include, but are not limited to: the number of Agent runs permitted per billing period; the number of deployed Agents; compute resources including CPU time and memory allocation; API request limits and rate limits; storage capacity for knowledge bases and other data; data transfer and bandwidth; the number of team members or users in an organization; and access to specific features or capabilities. Current limits for each Subscription tier are displayed on our pricing page and in your Account dashboard.

7.2 Usage Monitoring and Reporting

We monitor usage of the Services to ensure fair use, maintain Platform performance, and calculate any usage-based charges. Usage data is available through your Account dashboard, where you can track your consumption against your allocated limits. It is your responsibility to monitor your usage and ensure that it remains within your Subscription limits, or to upgrade your Subscription if additional resources are needed.

7.3 Exceeding Limits

If you exceed the limits of your Subscription tier, we may, at our discretion: (a) allow you to continue using the Services at overage rates as specified in your Subscription terms; (b) throttle or temporarily restrict your access to the Services until the next billing period; (c) notify you and require you to upgrade to a higher Subscription tier; or (d) suspend your Deployments until the issue is resolved. The specific consequences of exceeding limits depend on your Subscription tier and the nature of the excess usage.

7.4 Fair Use Policy

Even within stated limits, you agree to use the Services in a manner that is consistent with reasonable and intended use patterns. We reserve the right to restrict or throttle usage that we determine, in our sole discretion, constitutes abuse or threatens the stability, performance, or security of the Platform. Examples of usage patterns that may be considered unfair use include: excessive bursts of activity designed to consume resources before throttling takes effect; patterns designed to exploit any discrepancies between metered and actual resource consumption; or usage patterns that significantly deviate from typical customer behavior in a way that adversely affects other users.

7.5 Changes to Limits

We reserve the right to modify the resource limits associated with Subscription tiers at any time. Material changes to limits that adversely affect your current Subscription will be communicated to you in advance, and you will have the opportunity to adjust your Subscription or usage before such changes take effect. We will provide at least thirty (30) days' notice of material adverse changes to Subscription limits, except in cases where immediate changes are necessary for security reasons or to comply with legal requirements.

8. Intellectual Property Rights

8.1 Your Content

As between you and Connic, you own all right, title, and interest in and to your User Content, including any intellectual property rights therein. Connic claims no ownership rights in your User Content. Your Agent configurations, custom Tools, source code, and other materials that you create and upload to the Platform remain your property. Nothing in these Terms transfers ownership of your User Content to Connic.

8.2 License Grant to Connic

By uploading, submitting, or otherwise making available User Content through the Services, you grant Connic a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, publish, transmit, display, and distribute your User Content solely for the purposes of: (a) operating, providing, and improving the Services; (b) hosting and executing your Deployments; (c) providing technical support and troubleshooting; and (d) complying with legal obligations. This license is limited to what is necessary for Connic to provide the Services to you and does not grant Connic any rights to use your User Content for other purposes, including training AI models, without your explicit consent.

This license continues for as long as your User Content is stored on our Platform. You may terminate this license by deleting your User Content or your Account, except that: (a) Connic may retain copies of User Content for a reasonable period for backup, archival, and disaster recovery purposes; and (b) the license continues for any User Content that has been shared with or copied by other users or third parties prior to deletion.

8.3 Representations Regarding User Content

You represent and warrant that: (a) you own or have obtained all necessary rights, licenses, consents, and permissions to use and authorize Connic to use your User Content as contemplated by these Terms; (b) your User Content does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, rights of publicity or privacy, or other proprietary rights; (c) your User Content does not contain any viruses, malware, or other harmful code; and (d) your User Content complies with all applicable laws and regulations.

8.4 Connic's Intellectual Property

The Platform, including all software, code, designs, graphics, text, information, data, databases, the selection and arrangement thereof, and all other elements of the Services (collectively, "Connic Materials"), are owned by Connic or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The Connic Materials include, but are not limited to: the Platform infrastructure and architecture; the Connic Composer SDK and CLI tools; the web dashboard and user interface designs; APIs and their documentation; logos, trademarks, and branding elements; and any improvements, modifications, or derivative works of the foregoing.

Subject to your compliance with these Terms, Connic grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Connic Materials solely as necessary to use the Services for your internal business purposes. This license does not include the right to: (a) copy, modify, or create derivative works of the Connic Materials, except as explicitly permitted by the Documentation; (b) reverse engineer, decompile, or disassemble the Connic Materials; (c) sell, resell, license, sublicense, distribute, rent, or lease the Connic Materials; (d) remove or alter any proprietary notices, labels, or marks on the Connic Materials; or (e) use the Connic Materials for any purpose other than as expressly permitted by these Terms.

8.5 Feedback

We welcome and appreciate feedback, comments, suggestions, ideas, and recommendations for improvements to the Services ("Feedback"). By submitting Feedback, you acknowledge and agree that: (a) your Feedback does not contain confidential or proprietary information belonging to you or any third party; (b) Connic is not under any obligation of confidentiality with respect to the Feedback; (c) Connic may already be considering or developing similar ideas or features; and (d) you grant Connic a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit the Feedback for any purpose without attribution or compensation to you.

8.6 DMCA and Copyright Complaints

Connic respects the intellectual property rights of others and expects users of the Services to do the same. If you believe that your copyrighted work has been copied and is accessible on the Platform in a way that constitutes copyright infringement, you may notify us by providing our designated copyright agent with the following information in accordance with the Digital Millennium Copyright Act (DMCA): (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material that is claimed to be infringing and where it is located on the Platform; (d) your contact information; (e) a statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner. 9. Third-Party Services and Integrations

9.1 Third-Party Services

The Services may integrate with, require the use of, or provide access to Third-Party Services. These Third-Party Services may include, but are not limited to: Large Language Model (LLM) providers such as OpenAI, Anthropic, Google (Gemini), Meta (Llama), Mistral, and others; version control systems and code repositories such as GitHub and GitLab; authentication providers; payment processors; cloud infrastructure providers; and other software and services that you may choose to integrate with your Agents.

9.2 Your Relationship with Third Parties

Your use of any Third-Party Services is governed solely by the terms and conditions of those Third-Party Services, not by these Terms. Connic is not a party to your agreements with Third-Party Service providers, and you are solely responsible for: (a) reviewing and agreeing to the terms of service and privacy policies of any Third-Party Services you use; (b) obtaining and maintaining any necessary accounts, subscriptions, or API keys for Third-Party Services; (c) paying any fees charged by Third-Party Services; (d) ensuring that your use of Third-Party Services complies with their terms of service, acceptable use policies, and usage guidelines; and (e) managing any data that you share with or receive from Third-Party Services.

9.3 Disclaimer Regarding Third-Party Services

Connic does not control and is not responsible for Third-Party Services, including their content, privacy policies, availability, accuracy, or practices. The availability and functionality of Third-Party Services may change without notice to Connic or you. Connic makes no representations or warranties regarding Third-Party Services and disclaims all liability for: (a) the availability, accuracy, completeness, or quality of Third-Party Services; (b) any changes to the features, functionality, or pricing of Third-Party Services; (c) any actions taken by Third-Party Service providers, including suspension or termination of your access; (d) any data breaches or security incidents affecting Third-Party Services; and (e) the outputs, responses, or behavior of LLMs or other AI systems provided by third parties.

9.4 LLM Provider Responsibilities

When your Agents utilize LLM providers, you acknowledge that: (a) the quality, accuracy, and appropriateness of LLM outputs are determined by the LLM providers and the prompts and configurations you provide; (b) LLM outputs may contain errors, biases, or inappropriate content; (c) you are responsible for implementing appropriate safeguards, content filtering, and human oversight for LLM outputs as required by your use case; (d) changes to LLM capabilities, pricing, or availability may affect your Agents and Deployments; and (e) you must provide your own API keys and credentials for LLM services and are responsible for any costs incurred through the use of those services.

10. Fees, Billing, and Payment

10.1 Subscription Plans and Pricing

The Services are offered under various Subscription plans, including a free tier with limited features and paid tiers with additional capabilities and resource allocations. Current pricing and plan details are available on our pricing page at connic.co/pricing. Prices are stated exclusive of applicable taxes unless otherwise indicated. By selecting a paid Subscription, you agree to pay all Fees associated with the selected plan.

10.2 Billing and Payment Terms

For paid Subscriptions, you agree to:

  • Provide accurate and complete billing information, including a valid payment method
  • Promptly update your billing information if it changes
  • Authorize Connic to charge your payment method for all Fees owed, including recurring Subscription fees, usage-based charges, and any applicable taxes
  • Pay all Fees by the due date indicated on your invoice or as specified in your Subscription terms

Subscriptions are billed in advance on a monthly or annual basis, depending on the billing cycle you select. Usage-based charges, if applicable to your Subscription, are billed in arrears based on your actual usage during the billing period.

10.3 Automatic Renewal

UNLESS YOU CANCEL YOUR SUBSCRIPTION BEFORE THE END OF THE CURRENT BILLING PERIOD, YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW FOR THE SAME DURATION AT THE THEN-CURRENT RATE. You authorize us to charge your payment method on file for the renewal period. You may cancel your Subscription at any time through your Account settings or by contacting support. Cancellation will take effect at the end of the current billing period, and you will retain access to the Services until that time.

10.4 Price Changes

We reserve the right to change our prices at any time. For existing Subscriptions, price changes will take effect at the start of the next billing period following notice of the price change. We will provide at least thirty (30) days' advance notice of any price increases. Your continued use of the Services after a price change takes effect constitutes your acceptance of the new price. If you do not agree to a price change, you may cancel your Subscription before the change takes effect.

10.5 Taxes

You are responsible for paying all taxes associated with your use of the Services, including sales tax, use tax, value-added tax (VAT), goods and services tax (GST), and any other applicable taxes in your jurisdiction. If we are required to collect or pay taxes on your behalf, such taxes will be added to your invoice. You agree to provide us with any tax identification numbers or exemption certificates that may be required.

10.6 Refunds

Except as required by applicable law or as expressly set forth in these Terms, all Fees are non-refundable. This includes Subscription fees that have already been charged, regardless of whether you use the Services for the full billing period. If you believe you have been charged in error, please contact our support team within thirty (30) days of the charge, and we will review your request.

10.7 Late Payments and Suspension

If any payment is not received by the due date, we may: (a) charge interest on the overdue amount at the lesser of 1.5% per month or the maximum rate permitted by applicable law; (b) suspend your access to paid features of the Services until payment is received; (c) downgrade your Account to a free tier; or (d) terminate your Account in accordance with Section 12. We will provide reasonable notice before suspending or terminating your Account for non-payment.

10.8 Free Tier Limitations

The free tier of the Services is provided at our discretion and may be modified, limited, or discontinued at any time without notice. Free tier accounts may have reduced resource allocations, limited features, and may be subject to additional restrictions. We reserve the right to require users of the free tier to upgrade to a paid Subscription to continue using the Services.

11. Disclaimers and Limitation of Liability

11.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONNIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • WARRANTIES THAT ANY DEFECTS OR ERRORS IN THE SERVICES WILL BE CORRECTED
  • WARRANTIES THAT THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICES

YOU ACKNOWLEDGE THAT CONNIC DOES NOT CONTROL THE OUTPUTS OF YOUR AGENTS OR THE BEHAVIOR OF LLMS AND OTHER THIRD-PARTY SERVICES. CONNIC MAKES NO WARRANTY REGARDING THE ACCURACY, APPROPRIATENESS, OR SAFETY OF AGENT OUTPUTS OR LLM RESPONSES.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONNIC, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
  • LOSS OF DATA OR DATA CORRUPTION
  • LOSS OF GOODWILL OR REPUTATION
  • BUSINESS INTERRUPTION
  • COST OF PROCUREMENT OF SUBSTITUTE SERVICES
  • ANY DAMAGES ARISING FROM YOUR AGENTS, USER CONTENT, OR DEPLOYMENTS
  • ANY DAMAGES ARISING FROM OUTPUTS GENERATED BY YOUR AGENTS OR LLMS
  • ANY DAMAGES ARISING FROM THIRD-PARTY SERVICES

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF CONNIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONNIC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO CONNIC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

11.4 Essential Basis

YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND CONNIC, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. CONNIC WOULD NOT BE ABLE TO PROVIDE THE SERVICES TO YOU ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

11.5 Jurisdiction-Specific Limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such jurisdictions, Connic's liability is limited to the maximum extent permitted by law.

12. Suspension and Termination

12.1 Termination by You

You may terminate your Account and these Terms at any time by: (a) canceling your Subscription through your Account settings; (b) contacting our support team to request Account closure; or (c) simply ceasing to use the Services. If you have a paid Subscription, cancellation will take effect at the end of the current billing period, and you will not receive a refund for any remaining time in the period. Upon termination, you should export any User Content you wish to retain, as Connic may delete your User Content in accordance with Section 12.5.

12.2 Termination by Connic

Connic may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, with or without notice. Reasons for termination may include, but are not limited to:

  • Breach of these Terms, including the Acceptable Use Policy
  • Failure to pay applicable Fees when due
  • Requests by law enforcement, government agencies, or court orders
  • Unexpected technical or security issues or problems
  • Extended periods of inactivity
  • Engagement in fraudulent or illegal activities
  • Discontinuation of the Services or any part thereof

We will make reasonable efforts to notify you of termination, except where: (a) we are prohibited by law from doing so; (b) notification would compromise an investigation; or (c) immediate action is necessary to protect the Platform, other users, or third parties.

12.3 Suspension

As an alternative to termination, Connic may suspend your Account or specific Deployments if we reasonably believe that: (a) you have violated these Terms; (b) your Account has been compromised; (c) your usage poses a security risk to the Platform or other users; or (d) suspension is necessary to comply with legal requirements. During suspension, you may not be able to access some or all of the Services, but your User Content will be preserved. We will endeavor to resolve the issue causing the suspension and restore your access as soon as reasonably possible.

12.4 Effect of Termination

Upon termination of your Account or these Terms:

  • Your right to access and use the Services will immediately cease
  • All licenses granted to you under these Terms will immediately terminate
  • You remain liable for all Fees incurred prior to termination
  • Any provisions of these Terms that by their nature should survive termination will survive, including but not limited to Sections 2, 5, 6, 8, 9, 10, 11, 12, 13, and 15

12.5 Data Retention and Deletion

Following termination of your Account, Connic may retain your User Content for a limited period (typically thirty (30) days) to allow for Account recovery if termination was unintentional or for compliance with legal obligations. After this period, we may delete your User Content from our active systems. However, you acknowledge that: (a) copies of your User Content may persist in backup systems for a reasonable period; (b) we are not obligated to delete User Content that has been shared with other users or made public; and (c) certain information may be retained as required by law or for legitimate business purposes, such as fraud prevention and record-keeping.

12.6 Export of User Content

Prior to termination, you are responsible for exporting any User Content that you wish to retain. We may provide tools or APIs to facilitate data export, but we are not obligated to do so. After termination and the expiration of any retention period, we have no obligation to maintain or provide access to your User Content.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the jurisdiction in which Connic is established, without giving effect to any choice or conflict of law provision or rule. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

13.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@connic.co and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email within sixty (60) days. If the dispute is not resolved within that time, either party may proceed with formal dispute resolution as provided in this Section.

13.3 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration. The arbitration shall be administered by a recognized arbitration institution in accordance with its rules then in effect. The place of arbitration shall be the jurisdiction in which Connic is established. The language of the arbitration shall be English. The arbitrator's decision shall be final and binding on all parties.

YOU AND CONNIC AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than arbitration, you and Connic each waive any right to a jury trial.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

13.5 Time Limitation

Any claim or cause of action arising out of or relating to these Terms or your use of the Services must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred. This limitation applies regardless of the nature of the claim.

14. Changes to These Terms

14.1 Right to Modify

Connic reserves the right to modify, amend, or update these Terms at any time in its sole discretion. We may revise these Terms to reflect changes to our Services, changes in applicable law, or for other operational, legal, or regulatory reasons.

14.2 Notice of Changes

If we make material changes to these Terms, we will provide notice through one or more of the following methods: (a) posting the revised Terms on our website with an updated "Last Updated" date; (b) sending an email to the address associated with your Account; (c) displaying a prominent notice in your Account dashboard; or (d) through other reasonable means. We will provide at least thirty (30) days' advance notice before material changes take effect, except where shorter notice is required by law or is necessary for security reasons.

14.3 Acceptance of Changes

Your continued access to or use of the Services after the effective date of revised Terms constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the revised Terms, you must stop using the Services and may terminate your Account as provided in Section 12. We encourage you to periodically review these Terms to stay informed of any changes.

14.4 Prior Versions

Prior versions of these Terms may be available upon request for reference purposes. However, only the current version of these Terms governs your use of the Services.

15. General Provisions and Contact Information

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or additional terms published on the Platform, constitute the entire agreement between you and Connic regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

15.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the intent of the parties, or if such modification is not possible, such provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision of these Terms.

15.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Connic to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless it is in writing and signed by an authorized representative of Connic.

15.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Connic's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Connic may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.

15.5 No Third-Party Beneficiaries

These Terms do not and are not intended to confer any rights or remedies upon any person other than you and Connic. No third party shall have any right to enforce any provision of these Terms.

15.6 Force Majeure

Connic shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, power outages, internet or telecommunications failures, or failures of third-party service providers.

15.7 Notices

All notices, requests, demands, and other communications under these Terms shall be in writing and shall be deemed to have been duly given: (a) when delivered by hand; (b) when sent by email, with confirmation of receipt; or (c) three (3) business days after being sent by registered or certified mail, return receipt requested, postage prepaid. Notices to Connic should be sent to the contact address provided below. Notices to you will be sent to the email address associated with your Account.
